Terms of Service

1. Acceptance of Terms

By accessing and using GymMixPro ("Service"), including but not limited to visiting our website at https://gymmixpro.com and using our application at https://app.gymmixpro.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms in their entirety, you are not authorized to use the Service and must discontinue use immediately.

These Terms constitute a binding agreement between you and GymMixPro, operated by Jose, regarding your use of our platform and services. Your continued use of the Service following any modifications to these Terms constitutes your acceptance of those changes.

2. Description of Service

GymMixPro is a Software-as-a-Service (SaaS) platform designed to provide comprehensive gym management and membership tools to fitness facilities, coaches, and related businesses. The Service includes:

The Service is provided on an "as-is" basis. We continuously develop and improve the Service, which may result in modifications, additions, or removal of features. We will make reasonable efforts to notify users of significant changes.

3. Account Registration and User Roles

To use most features of the Service, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and password, and you agree to accept responsibility for all activity that occurs under your account.

Each role has specific access levels and responsibilities as defined in your account configuration. You are responsible for ensuring that all information provided during registration and maintained in your account remains accurate. You must immediately notify us of any unauthorized use of your account or password at hello@gymmixpro.com.

4. Subscription and Billing

4.1 Pricing Plans

GymMixPro offers tiered subscription plans for different user types:

All pricing is in USD and subject to applicable taxes. We reserve the right to change pricing with thirty (30) days' written notice. Price changes will apply to new subscriptions immediately and to existing subscriptions upon renewal.

4.2 Free Trial

New users are eligible for a fourteen (14) day free trial of the Service. The free trial grants full access to the selected plan features. At the conclusion of the trial period, your account will automatically convert to a paid subscription unless you cancel prior to the end of the trial.

4.3 Billing and Payment

Subscription fees are billed monthly, in advance, on the same date each month. All payments are processed through Stripe, our third-party payment processor. By providing payment information, you authorize us and Stripe to charge your account for the subscription fees and any applicable taxes.

You are responsible for providing accurate billing and payment information and keeping such information current. If payment fails, we will attempt to retry the charge as permitted by law. If payment ultimately fails, we may suspend or terminate your account until payment is received.

4.4 Platform Fee for Coaches

Coaches utilizing the platform to manage client payments will be subject to a 0.25% platform fee on payments received from clients through the Service. Standard Stripe processing fees apply separately, and funds are transferred to the coach's designated connected account through Stripe Connect.

4.5 Auto-Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. By subscribing, you acknowledge and agree to automatic renewal and authorize us to charge your payment method accordingly. You can cancel your subscription at any time through your account settings or by contacting us at hello@gymmixpro.com.

4.6 Cancellation and Refunds

You may cancel your subscription at any time by logging into your account or contacting us. Cancellation will take effect at the end of your current billing period. No refunds will be issued for partial months or unused portions of your subscription. In the event of a billing error, we will investigate and attempt to resolve the matter in good faith.

5. User Content and Data

5.1 Ownership of User Content

You retain all rights to any content, data, or information you upload to or create within GymMixPro, including but not limited to member information, class schedules, training plans, communications, and client data ("User Content"). GymMixPro does not claim ownership of User Content.

5.2 License to GymMixPro

By using the Service, you grant GymMixPro a non-exclusive, worldwide, royalty-free license to store, process, display, and transmit User Content as necessary to provide the Service and improve our platform. This license extends to creating backup copies, analyzing usage patterns, and implementing security measures.

5.3 Data Storage and Location

Your User Content is stored on Supabase, a cloud-hosted PostgreSQL database. By using GymMixPro, you acknowledge that your data will be stored on servers operated by third-party service providers and agree to the terms of service of such providers. We implement industry-standard security measures to protect your data, but we cannot guarantee absolute security.

5.4 Data Protection and Privacy

5.5 Responsibility for User Content

You are solely responsible for all User Content you upload or maintain in the Service. You represent and warrant that you have the right to grant GymMixPro the license described herein and that User Content does not infringe any third-party intellectual property rights.

6. Acceptable Use

You agree to use GymMixPro in compliance with all applicable laws and regulations and in accordance with these Terms. You specifically agree not to:

7. Intellectual Property

7.1 GymMixPro Intellectual Property

GymMixPro and all components of the Service, including but not limited to the platform architecture, user interface, software code, features, functionality, design, graphics, text, and other elements, are the exclusive property of GymMixPro and its licensors. All rights are reserved. You are granted a limited, non-exclusive, non-transferable license to access and use the Service solely as permitted by these Terms.

7.2 User Data and Content

You retain all ownership rights to your User Content. However, you grant GymMixPro the rights described in Section 5.2 to store, process, and transmit your User Content as necessary to operate the Service.

7.3 Restrictions on Use

You may not reproduce, modify, adapt, translate, create derivative works from, distribute, sell, resell, or exploit the Service or any component thereof without express written permission from GymMixPro. You may not remove, obscure, or alter any copyright notices, trademarks, or other proprietary notices within the Service.

7.4 Trademarks

GymMixPro, the GymMixPro logo, and other marks are trademarks of GymMixPro. You agree not to use these marks without prior written consent from GymMixPro.

8. Limitation of Liability

8.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. GYMMIXPRO MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE SERVICE, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, secure, or that defects will be corrected.

8.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL GYMMIXPRO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF GYMMIXPRO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8.3 Cap on Liability

GYMMIXPRO'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO GYMMIXPRO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. This limitation applies to all causes of action, whether in contract, tort, strict liability, or otherwise.

8.4 Essential Provision

You acknowledge that the limitations in this Section 8 are essential terms of these Terms, and that GymMixPro would not offer the Service at the stated prices without these limitations.

9. Termination

9.1 Termination by You

You may terminate your account and cancel your subscription at any time by logging into your account settings or contacting us at hello@gymmixpro.com. Upon termination, your access to the Service will cease, and you will no longer be charged subscription fees.

9.2 Termination by GymMixPro

GymMixPro may terminate or suspend your account and access to the Service, with or without cause and with or without notice, if:

Upon termination of your account, your access to the Service will cease immediately. You will lose access to your User Content unless we provide a grace period for data export. GymMixPro retains the right to delete your User Content within a reasonable timeframe after termination. Sections 5, 7, 8, and 11 shall survive termination.

9.4 Data Retention

Following termination or expiration of your subscription, GymMixPro will retain your User Content for a limited period to allow data recovery or as required by law. After such period, your User Content will be deleted from active systems. We may retain de-identified or aggregated data for statistical purposes.

10. Changes to Terms and Service

GymMixPro may modify these Terms at any time. If we make material changes, we will provide notice via email at the address associated with your account or through the Service itself. Material changes will become effective upon the later of (a) publication on the Service, or (b) thirty (30) days' written notice to you. Your continued use of the Service following such notice constitutes your acceptance of the modified Terms. If you do not accept modified Terms, you must discontinue use of the Service and cancel your account.

GymMixPro may also modify, suspend, or discontinue features or portions of the Service with or without notice. We will make reasonable efforts to minimize disruption to users, but we reserve the right to make such changes to ensure security, improve performance, or for other operational reasons.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the United States, without regard to its conflict of law principles. The laws of the United States shall apply regardless of your location or citizenship.

11.2 Jurisdiction and Venue

You agree that any legal action or proceeding arising out of or related to these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the federal or state courts located in the United States, and you consent to the personal jurisdiction and venue of such courts.

11.3 Dispute Resolution

Before initiating formal legal proceedings, we encourage you to contact us directly to attempt resolution of any disputes. Please send dispute notices to hello@gymmixpro.com with a detailed description of the dispute. We will attempt to resolve the matter within thirty (30) days of receiving your notice.

Entire Agreement

These Terms, together with our Privacy Policy and any other agreements you have entered into with GymMixPro, constitute the entire agreement between you and GymMixPro regarding the Service and supersede all prior negotiations, representations, and agreements. If any provision of these Terms is found to be invalid or unenforceable, such provision shall be severed, and the remaining provisions shall remain in full force and effect.
